Welcome to Barchive Social (“Barchive,” “App,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the Barchive Social mobile application, website, and related features, content, products, and services (collectively, the “Services”).
By creating an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
You must be at least 18 years old to use the Services. By using Barchive Social, you represent and warrant that you are at least 18 years old and legally capable of entering into these Terms.
If you are using the Services on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.
You may need to create an account to access certain features. You agree to provide accurate, current, and complete information and to keep your information updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately if you believe your account has been compromised or used without authorization.
We reserve the right to suspend, restrict, or terminate accounts that are inaccurate, fraudulent, misleading, or otherwise violate these Terms.

Misuse of location-based features, direct messaging, or social features for stalking, surveillance, unwanted contact, coercion, or intimidation is strictly prohibited and may result in immediate suspension or permanent ban.
“User Content” means any content you upload, post, submit, transmit, or otherwise make available through the Services, including photos, captions, ratings, comments, profile information, and messages.
You retain ownership of your User Content, but you grant Barchive a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to host, store, reproduce, modify for technical purposes, adapt, publish, display, distribute, and otherwise use your User Content as necessary to operate, provide, improve, secure, promote, and enforce the Services.

We are not obligated to monitor all User Content, but we may review, remove, restrict, preserve, or disclose User Content if we believe it violates these Terms, applicable law, or is necessary to protect users, us, or others.
Barchive Social may provide tools such as reporting, blocking, muting, account restrictions, content removal, and other moderation controls. We reserve the right, but do not assume the obligation, to investigate conduct, review content, and take any action we deem appropriate.

We do not guarantee that all harmful, offensive, deceptive, or illegal conduct will be detected, prevented, or removed before exposure occurs.
Some features depend on location information, including showing content, places, or users near a location. By enabling these features, you authorize us to collect, process, and use location information as described in our Privacy Policy.
You understand and agree that use of location-based features may increase the possibility that others can infer your general whereabouts, activity patterns, or proximity to certain venues. You are solely responsible for the decision to enable location-based features and for your real-world interactions with others.
Barchive does not guarantee the identity, intentions, conduct, or safety of any user, venue, or third party. Always use caution when sharing information, meeting people, or posting content that could reveal your habits, whereabouts, or other sensitive details.
The Services may allow direct or private communications between users. You are solely responsible for your communications and interactions with others. We do not conduct background checks, identity verification for all users, or guarantee that users are who they claim to be.
You agree not to use messaging or social features for harassment, spam, solicitation, scams, threats, impersonation, or illegal activity.
From time to time, Barchive may offer or facilitate promotions, giveaways, sweepstakes, or contests. Additional terms may apply to those promotions, and such terms will control in the event of any conflict.
We reserve the right to modify, suspend, or cancel any promotion where permitted by law, including in cases of fraud, abuse, technical failures, or ineligibility.
Except for User Content, the Services and all related content, software, branding, logos, designs, text, graphics, and other materials are owned by Barchive or its licensors and are protected by applicable intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for personal, non-commercial use only.
If you believe content on the Services infringes your copyright or other intellectual property rights, contact us at john@barchivesocial.com with sufficient detail for us to review the claim.
We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you violated these Terms, pose a risk to users or the Services, or where termination is otherwise appropriate.
Upon termination, the rights granted to you under these Terms will immediately cease. Sections that by their nature should survive termination will survive, including those relating to content rights, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, BARCHIVE DOES NOT WARRANT THAT:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BARCHIVE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BARCHIVE’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNT YOU PAID TO BARCHIVE, IF ANY, IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
You agree to defend, indemnify, and hold harmless Barchive and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to:

To the fullest extent permitted by law, you and Barchive agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved through binding individual arbitration rather than in court, except that either party may bring an individual claim in small claims court if eligible.
You and Barchive waive any right to a jury trial and waive any right to participate in a class action, class arbitration, private attorney general action, or other representative proceeding.
These Terms and any dispute arising out of or relating to them or the Services will be governed by the laws of the State of New Jersey, without regard to conflict of law principles, except to the extent preempted by federal law.
We may update these Terms from time to time. If we make material changes, we may provide notice through the App, website, or other reasonable means. Your continued use of the Services after updated Terms become effective means you accept the revised Terms.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later.
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
